These Terms and Conditions ("Terms") are entered into between you (the "Customer", "you") and:
This information is provided as part of our disclosure obligations to consumers under the Electronic Communications and Transactions Act 25 of 2002 ("ECTA").
ShyftWize is a cloud-based (software-as-a-service) workforce-management platform. It provides, among other things, GPS-verified clock-in and clock-out, shift scheduling, leave management, attendance-variation and labour-compliance flagging, and labour-cost reporting. The service is delivered over the internet and accessed through a web browser and/or supported applications; no physical goods are sold or shipped.
Specific features, usage limits, and available plans are described on our website and/or in your subscription plan.
By registering for an account, subscribing to a plan, or using the service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you are accepting these Terms on behalf of a company or other organisation, you warrant that you are authorised to bind that organisation, and "you" and "Customer" refer to that organisation.
If you do not agree to these Terms, you must not use the service.
4.1 You must be at least 18 years old and able to enter into a binding contract.
4.2 You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your account credentials, and for all activity that occurs under your account.
4.3 You must notify us promptly of any unauthorised use of your account or any other breach of security.
5.1 Plans and pricing. The service is offered on subscription plans. Current plans, features, and prices are set out on our website at https://shyftwize.app/pricing. All prices are quoted in South African Rand (ZAR). ShyftWize Africa is not a registered VAT vendor, so no value-added tax is charged on our subscription fees; the price shown is the total price payable.
5.2 Free trial. Where a free trial is offered, you may use the service for the stated trial period at no charge. We will remind you before the trial ends and begin billing your selected plan at the end of the trial unless you cancel. You may cancel at any time during the trial without charge.
5.3 Recurring billing. Paid subscriptions renew automatically for successive billing cycles (monthly or annual, as selected) until cancelled. Payments are processed securely by PayFast, our third-party payment processor. By subscribing to a paid plan, you authorise us (through PayFast) to charge the recurring subscription fee to your selected payment method at the start of each billing cycle. We do not store your full card details.
5.4 Failed payments. If a payment fails, we may retry the charge and/or notify you to update your payment details. We may suspend or downgrade your access if a payment remains outstanding after a reasonable period.
5.5 Price changes. We may change our fees. We will give you reasonable prior notice (at least 30 days) of any price change, which will take effect from your next billing cycle. If you do not accept a price change, you may cancel before it takes effect.
5.6 Taxes. You are responsible for any taxes, duties, or levies applicable to your purchase, other than taxes on our income.
6.1 Digital delivery only. ShyftWize is a digital service. There is no physical product, and nothing is shipped or couriered.
6.2 How and when the service is delivered. Access to the service is provisioned electronically and immediately (or as soon as reasonably possible, and in any event within 24 hours) after your account is created and, for paid plans, after your first payment is successfully authorised by PayFast.
6.3 Confirmation of delivery. Delivery is confirmed by (a) your ability to log in and use the service, and (b) a confirmation email sent to the address on your account. If you do not receive access or confirmation, please contact support@shyftwize.com.
6.4 Your responsibilities. You are responsible for the internet connectivity, devices, and up-to-date web browsers needed to access the service. Delivery does not include any hardware, on-site installation, or third-party connectivity.
7.1 How to cancel. You may cancel your subscription at any time by using the cancellation option in your account settings, or by emailing support@shyftwize.com. There is no cancellation fee and, unless a fixed term is expressly agreed in writing, no minimum lock-in period beyond the current paid billing cycle.
7.2 When cancellation takes effect. Cancellation stops future renewals. Your paid access continues until the end of the billing cycle you have already paid for, after which the subscription will not renew.
7.3 Effect of cancellation. After your access ends, we will retain and then delete your data in accordance with our Privacy Policy and applicable retention periods. You may request an export of your data before your access ends, or within 30 days after cancellation, subject to statutory retention obligations.
7.4 Cancellation by us. We may suspend or cancel your subscription if you materially breach these Terms (including non-payment) or use the service unlawfully. Where practicable and lawful, we will give you notice and an opportunity to remedy the breach first.
8.1 Your statutory rights. Nothing in this policy limits any rights you may have as a consumer under the Consumer Protection Act 68 of 2008 ("CPA") or the ECTA, to the extent those Acts apply to you. Some provisions of the CPA may not apply to Customers that are juristic persons whose asset value or annual turnover exceeds the threshold prescribed under the CPA.
8.2 Free trial first. Because a free trial is available so that you can evaluate the service before paying, we encourage you to use it. Fees for a paid plan become payable once the trial ends or once you subscribe to a paid plan.
8.3 Cooling-off / money-back window. If you cancel a new paid subscription within 14 days of your first payment, you may request a refund of that payment, provided the service has not been used beyond reasonable evaluation. Statutory cooling-off rights under the ECTA, where they apply, are honoured; note that such rights generally do not apply once a service has been fully performed or where you have begun using it with your consent.
8.4 Downgrades. If you downgrade to a lower-priced plan, we will credit the unused portion of the fee for the higher plan on a pro-rata basis, in line with our billing system.
8.5 Part-period after use. Except as required by law, as expressly stated in this policy, or where the service has failed materially through our fault, we do not provide refunds for the unused part of a billing cycle after the service has been used, or for periods after a cancellation takes effect.
8.6 Billing errors and duplicate charges. If you are charged in error or charged more than once for the same period, we will refund the incorrect amount.
8.7 How refunds are made. Approved refunds are made in ZAR to the original payment method used at checkout, via PayFast, within 10 business days of approval. Refund timing to your account also depends on your bank or card issuer.
8.8 Requesting a refund. To request a refund, contact support@shyftwize.com with your account details and the reason for the request.
You agree not to: (a) use the service unlawfully or in breach of these Terms; (b) attempt to gain unauthorised access to the service, other accounts, or our systems; (c) interfere with or disrupt the integrity or performance of the service; (d) resell or provide the service to third parties except as expressly permitted; or (e) upload unlawful, infringing, or malicious content.
The service, including its software, design, and content (excluding your data), is owned by ShyftWize or its licensors and is protected by intellectual-property laws. We grant you a non-exclusive, non-transferable, revocable licence to use the service for your internal business purposes for the duration of your subscription. You retain all rights in the data you upload.
11.1 Our collection and processing of personal information is governed by our Privacy Policy at https://shyftwize.app/legal/privacy, the Protection of Personal Information Act 4 of 2013 ("POPIA"), and, where applicable, other data-protection laws.
11.2 Roles. Where you use the service to process the personal information of your own employees or personnel, you are the responsible party (data controller) for that information and ShyftWize acts as an operator (processor) on your behalf and on your documented instructions. You are responsible for having a lawful basis (including any required consents, for example for GPS location and clock-in photographs) to process that information through the service.
11.3 Security. We apply appropriate technical and organisational measures to safeguard personal information, including encryption of sensitive data at rest and in transit, role-based access controls, per-tenant data isolation, audit logging, and multi-factor authentication.
11.4 Access to information. In line with the Promotion of Access to Information Act 2 of 2000 ("PAIA"), our PAIA manual is available at https://shyftwize.app/legal/paia.
12.1 We aim to keep the service available and reliable but do not warrant that it will be uninterrupted or error-free. The service may be unavailable during planned maintenance or due to factors beyond our reasonable control.
12.2 Support is provided via email to support@shyftwize.com, business days 08:00–17:00 SAST. Any specific uptime or service-level commitments apply only where set out in a separate written service-level agreement.
To the maximum extent permitted by law, and subject to any rights you have under the CPA that cannot be excluded, the service is provided "as is" and "as available", and we disclaim all warranties not expressly stated in these Terms. You are responsible for ensuring the service meets your requirements before subscribing (the free trial is provided for this purpose).
To the maximum extent permitted by law, and without limiting any of your rights that cannot lawfully be excluded: (a) neither party is liable for indirect, incidental, special, or consequential loss, or loss of profits, revenue, or data; and (b) our total aggregate liability arising out of or in connection with the service is limited to the total fees paid by you to us in the 3 months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law (for example, for fraud or for death or personal injury caused by negligence).
You agree to indemnify us against claims, losses, and costs arising from your unlawful use of the service, your breach of these Terms, or your failure to have a lawful basis to process personal information through the service.
We may suspend or terminate your access if you breach these Terms, fail to pay, or use the service unlawfully or in a way that risks harm to the service or other users. On termination, the licence in clause 10 ends and clauses that by their nature should survive (including clauses 8, 10, 11, 13, 14, 15, and 18) continue to apply.
We may update these Terms from time to time. For material changes, we will give you reasonable notice by email or in-application notification. Continued use of the service after the changes take effect constitutes acceptance of the updated Terms.
18.1 These Terms are governed by the laws of the Republic of South Africa.
18.2 The parties will attempt in good faith to resolve any dispute informally by first contacting support@shyftwize.com. If a dispute cannot be resolved informally, it will be subject to the exclusive jurisdiction of the South African courts.
18.3 Nothing in this clause prevents a consumer from approaching the National Consumer Commission, the relevant ombud, or a court to the extent permitted by the CPA.
19.1 Entire agreement. These Terms, together with the Privacy Policy and any plan details, form the entire agreement between you and us regarding the service.
19.2 Severability. If any provision is found unenforceable, the remaining provisions continue in effect.
19.3 Assignment. You may not assign these Terms without our written consent. We may assign them to a successor in connection with a merger, acquisition, or sale of assets.
19.4 Force majeure. Neither party is liable for failure or delay caused by events beyond its reasonable control.
